Terms of Service

Article 1 (Application)

These Terms set forth the conditions for using AdPorta (the "Service"). Users must agree to these Terms before using the Service. Our separately defined Privacy Policy also forms part of these Terms.

Article 2 (Registration)

Registration applications must be submitted with accurate information. Registrations based on false information are subject to cancellation.

Article 3 (Prohibited Acts)

• Acts that violate laws or public order and morals
• Acts that cause nuisance to other users
• Registering or providing false information
• Acts that interfere with the operation of the Service
• Unauthorized access or reverse engineering
• Registering, listing, or operating sites, social media accounts, campaigns, or ad spaces containing adult content (pornography, obscene expressions, or other adult-oriented content)

Article 4 (Fees, Commissions, and Payment)

The Premium membership fee is ¥11,000 per month (tax included), billed automatically each month via credit card through Stripe. To cancel, please contact support@adporta.net.

When a partnership is established, we automatically collect a service commission at the rate we separately determine, via Stripe.

Article 5 (Google Analytics Integration)

Providers may connect their Google Analytics 4 data with the Service. Doing so constitutes agreement that we may obtain this data and present it to advertisers. Handling of this data complies with our Privacy Policy and Google's API Services User Data Policy.

Article 6 (Disclaimer)

The Service provides a venue for matching advertisers with media operators and does not guarantee that any transaction will be concluded or produce results.

Article 7 (Suspension and Deletion of Accounts)

We may suspend or delete an account without prior notice in the event of a violation of these Terms, non-payment of fees or membership dues, or any other reason we deem inappropriate.

Article 8 (Changes to or Suspension of the Service)

We may change or suspend the Service after prior notice.

Article 9 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Article 10 (Consumption Tax Treatment; Issuance of Purchase Statements)

Invoices issued by a Provider to an Advertiser are issued by the Provider in their own name. If the Provider is a Qualified Invoice Issuing Business, that invoice will display their registration number. If the Provider is not a Qualified Invoice Issuing Business, both the Advertiser and the Provider acknowledge in advance that the Advertiser may be disadvantaged with respect to input tax credit eligibility.

For referral rewards paid to Referrers under the referral program, we may prepare and issue (including via system-generated PDF) a payment statement that satisfies the required entries for a purchase statement (仕入明細書等) under the Consumption Tax Act. Where a Referrer has registered their Qualified Invoice Issuing Business registration number with us, that statement will display the registration number.

If a Referrer does not raise an objection, through the method we designate, within 14 days of the issuance of a payment statement we have provided, the Referrer is deemed to have agreed to its contents.
